SUBSCRIBER AGREEMENT
FOR SAEGIS ONLINE SERVICE ("The Service")
| The SAEGIS Online Service is an information service from Thomson & Thomson, Incorporated, primarily accessed via the World Wide Web at www.thomson-thomson.com. By completing enrollment and using The Service, you agree to be bound by all of the terms in this Subscriber Agreement. Thomson & Thomson may change the terms in this Subscriber Agreement. If and when the terms are changed, Thomson & Thomson will notify you by posting a notice in the "Subscriber Announcements" section. By using The Service after any change in the Subscriber Agreement is posted, you agree to be bound by all of the changes as well. You should consult the "Subscriber Announcements" section each time you access The Service. |
| The information available through The Service is the property of Thomson & Thomson or various content providers and is protected by copyright and other intellectual property laws. Information received through The Service is to be used solely for internal purposes. Except with prior written authorization from Thomson & Thomson, no information received through The Service may be duplicated, reproduced, distributed, or otherwise disseminated, in whole or in part, in any form, except that limited reproduction is permitted for distribution within your internal organization. Under no circumstances may copies produced under this provision be offered for sale or resale, except if user is an attorney or law firm (an "Authorized Attorney") engaged primarily in the practice of law, or an agent of an Authorized Attorney, limited reproductions of outputs by user is permitted for distribution to a client or Authorized Attorney in connection with the Authorized Attorney's legal representation of that client, provided that user is not a company, partnership or entity in the trademark research business, or employed, directly or indirectly, by a trademark research entity. All output must include due acknowledgement that the information is from the TRADEMARKSCAN� databases and contains the applicable copyright notice by Thomson & Thomson. Notwithstanding the foregoing, Thomson & Thomson makes no claim of copyright ownership in any information that is in the public domain. |
| Due to the number of sources from which information on the Service is obtained, and the inherent hazards of electronic distribution, there may be delays, omissions or inaccuracies in such information and The Service. THOMSON & THOMSON AND ITS AFFILIATES, AGENTS AND LICENSORS CANNOT AND DO NOT WARRANT THE ACCURACY, COMPLETENESS, CURRENTNESS, NONINFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OF THE INFORMATION AVAILABLE THROUGH THE SERVICE, OR THE SERVICE ITSELF. THOMSON & THOMSON EXPRESSLY DISCLAIMS RESPONSIBILITY FOR THE ACCURACY OF INFORMATION ORIGINATING FROM THE VARIOUS PATENT, TRADEMARK AND COPYRIGHT OFFICES OR THEIR PUBLICATIONS, AND FOR INFORMATION ORIGINATING FROM THE VARIOUS SECRETARY OF STATE OFFICES, AND ANY ERRORS OR OMISSIONS IN SAID DATABASES RESULTING FROM THE USE OF SUCH INFORMATION OR PUBLICATIONS. NEITHER THOMSON & THOMSON NOR ANY OF ITS AFFILIATES, AGENTS OR LICENSORS SHALL BE LIABLE TO YOU OR ANYONE ELSE FOR ANY LOSS OR INJURY CAUSED IN WHOLE OR PART BY ITS NEGLIGENCE OR CONTINGENCIES BEYOND ITS CONTROL IN PROCURING, COMPILING, INTERPRETING, REPORTING OR DELIVERING THE SERVICE AND ANY INFORMATION THROUGH THE SERVICE. IN NO EVENT WILL THOMSON & THOMSON, ITS AFFILIATES, AGENTS OR LICENSORS BE LIABLE TO YOU OR ANYONE ELSE FOR ANY DECISION MADE OR ACTION TAKEN BY YOU IN RELIANCE ON SUCH INFORMATION OR FOR ANY CONSEQUENTIAL, SPECIAL OR SIMILAR DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU AGREE THAT THE LIABILITY OF THOMSON & THOMSON, ITS AFFILIATES, AGENTS AND LICENSORS, IF ANY, ARISING OUT OF ANY KIND OF LEGAL CLAIM (WHETHER IN CONTRACT, TORT OR OTHERWISE) IN ANY WAY CONNECTED WITH THE SERVICE OR THE INFORMATION IN THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO THOMSON & THOMSON FOR USE OF THE SERVICE. |
| You are responsible for all charges incurred while your account and password are being used. You agree to pay all fees invoiced (including applicable taxes) on account of your use of The Service within thirty (30) days of the invoice date. Thomson & Thomson reserves the right to change its fees for The Service at any time. Thomson & Thomson will notify you of such changes by posting a notice in the "Subscriber Announcements" section of The Service. |
| Your Service subscription will continue until terminated by Thomson & Thomson or until you provide notice of your decision to terminate your subscription. Thomson & Thomson may discontinue or change The Service, or its availability to you, at any time without notice. THIS AGREEMENT IS PERSONAL TO YOU, AND YOU MAY NOT ASSIGN YOUR RIGHTS OR OBLIGATIONS TO ANYONE. If any provision of this Agreement is invalid or unenforceable under applicable law, the remaining provisions will continue in full force and effect. This Agreement, all intellectual property issues, and your rights and obligations shall be governed by the laws of the United States of America and the Commonwealth of Massachusetts governing contracts wholly entered into and wholly performed within the Commonwealth of Massachusetts. |
